Subscription Terms and Conditions
1. Definitions
In these Terms and Conditions, the following words have the meanings set out below:
- "HEX360" or "we" or "us" means HEX360 Ltd, a company registered in England and Wales, trading as HEX360 Virtual PM. Director: Craig Lewis. Contact: info@hex360.co.uk, 07903 696 395.
- "Website" means hex360virtualpm.co.uk and virtualpm.co.uk and all associated subdomains and pages.
- "Service" means access to VPM Guides and any other features made available through your subscriber account on the Website.
- "VPM Guides" or "Guides" means the interactive operational blueprints for construction project management made available through the Service, comprising written content, workflows, checklists, and structured processes.
- "Templates" means the documents, checklists, forms, and other materials embedded within the Guides and accessible through the platform.
- "Subscriber" or "you" means the individual or business entity that has subscribed to access the Service under one of the available subscription plans.
- "Content" means all text, workflows, processes, templates, checklists, data, and other materials forming part of the Guides and the Service.
2. Service Description
VPM Guides are interactive, step-by-step operational blueprints designed to help individuals and businesses manage construction projects. Each Guide covers a specific area of construction project management and provides structured workflows, actionable steps, embedded templates, and progress tracking.
The Service is delivered entirely online. Guides are accessed through your subscriber account on the Website. There is no physical or downloadable product. Access to the Service is conditional on maintaining an active subscription.
Your progress through each Guide is tracked and stored against your account. Templates are viewable within the platform as part of the Guide experience.
HEX360 reserves the right to update, modify, improve, or add to the Guides and the Service at any time. The Service is provided on an ongoing basis and the specific content of any Guide may change over time.
3. Subscription Plans
The following subscription plans are available:
Starter Plan — Access to 1 Guide at a time. Full access to all features of that Guide, including workflows, templates, and progress tracking. Available on a monthly or annual billing basis.
Professional Plan — Access to the full VPM Guides library. Full access to all features across all available Guides, including workflows, templates, and progress tracking. Available on a monthly or annual billing basis.
Team Plan — Multi-user access for internal business use. Pricing is bespoke and agreed on application. Subject to separate agreement.
HEX360 reserves the right to introduce new plans, modify existing plans, or discontinue plans with reasonable notice to existing subscribers. Professional subscribers will have access to new Guides added to the library at no additional charge. Starter subscribers may access new Guides by selecting them as their active Guide (subject to the one-Guide-at-a-time restriction).
4. Pricing and Payment
Hex360 Project Management Limited is not VAT registered. Prices shown are flat, with no VAT applied. The current retainer prices are:

Payment is taken via Stripe, a third-party payment processor. By subscribing, you agree to Stripe's terms of service. Your card details are held securely by Stripe and are not stored by HEX360.
Subscriptions are billed on a recurring basis. Monthly subscriptions are billed each month on the same calendar date as the original subscription. Annual subscriptions are billed each year on the anniversary of the original subscription date.
Your subscription will renew automatically at the end of each billing period unless you cancel before the renewal date. You will not receive a separate reminder before each renewal.
HEX360 reserves the right to change subscription prices. We will give you at least 30 days' written notice (by email to your registered address) before any price change takes effect. If you do not wish to continue at the new price, you may cancel your subscription before the new price applies.
If a payment fails, HEX360 and/or Stripe will attempt to reprocess the payment. If payment remains unsuccessful, your access to the Service may be suspended until the outstanding amount is settled.
5. Free Trial
There is currently no free trial period for VPM Guides. Access to the Service begins upon payment of the first subscription fee.
6. Cancellation and Refunds
Monthly subscribers may cancel their subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date. No refund will be given for any unused days within the final billing period.
Annual subscribers may cancel their subscription at any time. Cancellation takes effect at the end of the current annual billing period. Annual subscriptions are non-refundable on a pro-rata basis — no refund will be given for unused months remaining in the annual period.
Cooling-off period (UK Consumer Contracts Regulations 2013): If you are a consumer, you ordinarily have the right to cancel a digital content contract within 14 days of subscribing and receive a full refund. However, by subscribing and accessing VPM Guides within that 14-day period, you expressly acknowledge that the supply of digital content has commenced at your request, and you waive your right to cancel under the Regulations. If you do not wish to waive your cooling-off rights, do not access the Service within the first 14 days of subscribing.

7. Access and Account
A subscription grants access to one named individual only. Each Subscriber must create and maintain one account for their own use. Account sharing is not permitted.
You must not allow others to use your account or share your login credentials with any third party. Simultaneous logins from multiple devices may be subject to fair use restrictions. HEX360 reserves the right to suspend or terminate access where an account appears to be shared between multiple users.
You are responsible for keeping your login credentials secure. HEX360 will not be liable for any loss or damage arising from unauthorised access caused by your failure to maintain security. Notify us immediately at info@hex360.co.uk if you suspect your account has been compromised.
8. Intellectual Property
All Content within the Service — including but not limited to the Guides, Templates, workflows, processes, text, graphics, and associated materials — is the intellectual property of HEX360 Ltd and is protected by copyright and other applicable intellectual property laws.
By subscribing, you receive a limited, personal, non-exclusive, non-transferable licence to access and use the Content for your own personal or internal business purposes only. This licence does not transfer any ownership or intellectual property rights to you.
The licence does not permit you to: (a) copy, reproduce, distribute, or share any Content; (b) resell, sublicense, or otherwise transfer access to the Content or Service to any third party; (c) use the Content for any commercial purpose other than your own internal business use; (d) create derivative works from the Content without express written consent from HEX360; or (e) remove or obscure any copyright notices.
Where multiple users within a business wish to access the Service, a Team Plan subscription must be arranged. Please contact us at info@hex360.co.uk to discuss team pricing. HEX360 may immediately suspend or terminate access (without refund) where IP violations or account sharing are suspected.
9. No Downloading of Content
The Service is provided for online access only. All Content is hosted on the Website and is intended to be used within the platform.
You may not download, save, copy, screenshot, screen-record, print, or otherwise reproduce any part of the Content outside of the platform, except to the extent that such reproduction is incidental to your normal use of the Service on your device (for example, temporary browser caching).
Templates are available for viewing and use within the platform only. They are not available for download in any format.
Any systematic or automated extraction, collection, or reproduction of Content is strictly prohibited.
10. Content Updates
HEX360 may update, add to, modify, restructure, or remove Content within the Guides at any time. We do not guarantee that any specific piece of Content will remain unchanged or available for any particular period.
We will endeavour to improve and expand the Content over time, including adding new Guides and updating existing ones to reflect current best practice and regulatory requirements. HEX360 will not be liable for any losses or inconvenience arising from changes to the Content, provided that the overall Service continues to operate in substantially the same way.
11. Limitation of Liability
Nature of the Service: The Guides are provided for general informational and operational guidance purposes only. They do not constitute professional advice of any kind (including legal, financial, structural, planning, health and safety, or any other professional discipline). Subscribers are responsible for ensuring the Guides are appropriate for their specific circumstances and should seek independent professional advice where required.
To the maximum extent permitted by applicable law, HEX360 excludes all liability for: (a) any loss or damage (whether direct, indirect, consequential, financial, or otherwise) arising from your use of or reliance on the Service or its Content; (b) any errors, omissions, or inaccuracies in the Content; (c) any interruption, suspension, or termination of the Service; or (d) any loss of data or progress tracking information.
Where HEX360's liability cannot be excluded by law, our total aggregate liability to you shall not exceed the total subscription fees paid by you to HEX360 in the 12 months immediately preceding the date on which the claim arose.
Nothing in these Terms limits HEX360's liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law. Nothing in these Terms affects your statutory rights as a consumer.
12. Data Protection
HEX360 Ltd is committed to protecting your personal data and complying with the UK GDPR and the Data Protection Act 2018. We collect and process personal data including your name, email address, billing information, and usage data to provide and improve the Service and manage your account.
Your personal data is processed in accordance with our Privacy Policy (available on the Website). We do not sell or share your personal data with third parties for marketing purposes. Data is shared only where necessary to provide the Service, including with Stripe (payment processing) and other service providers under appropriate data processing agreements.
Your data is stored securely on servers located within the United Kingdom or the European Economic Area. You have rights of access, correction, and deletion — contact info@hex360.co.uk to exercise these rights.
13. Suspension and Termination
Termination by you: You may cancel your subscription at any time as described in clause 6. On termination, your access to the Service will end at the conclusion of the then-current billing period.
Termination by HEX360: HEX360 may immediately suspend or permanently terminate your access (without notice and without refund) if: (a) you breach any of these Terms, particularly provisions relating to intellectual property, account sharing, or downloading of Content; (b) you fail to make payment when due; (c) you use the Service unlawfully or in a manner harmful to HEX360 or third parties; or (d) we have reasonable grounds to believe your account is being used fraudulently.
HEX360 may also suspend or terminate the Service generally with 30 days' written notice to all subscribers. In that event, a pro-rata refund will be provided for any prepaid subscription period that extends beyond the termination date.
14. Governing Law
These Terms and Conditions, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.
15. Changes to These Terms
HEX360 may update or amend these Terms from time to time. Where changes are material, we will notify you by email to your registered email address at least 30 days before the changes take effect. Your continued use of the Service after that date will constitute your acceptance of the revised Terms. If you do not agree to the updated Terms, you may cancel your subscription before the new Terms take effect.
16. General
Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and HEX360 in relation to the Service.
Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be deemed deleted and the remaining provisions shall continue in full force and effect.
Waiver: A failure by HEX360 to enforce any provision shall not constitute a waiver of HEX360's right to enforce that provision subsequently.
No third party rights: These Terms are for the benefit of you and HEX360 only. No other person shall have any right to enforce any of their provisions.
